Proprietorship Registration
Easiest way to start your business as a single owner.
A sole proprietorship is the simplest way to run a business in India: one person owns, controls and is responsible for everything. There is no separate company to incorporate, no minimum capital and very little paperwork, which is why most small shops, freelancers, consultants and home-based businesses begin here. CASYST sets up the registrations that give your proprietorship a legal, bankable identity, so you can start trading with confidence.
What is a sole proprietorship?
A sole proprietorship is a business owned and run by a single individual. In the eyes of the law the owner and the business are the same person: the profits are yours, and so are the debts and liabilities. Unlike a private limited company or an LLP, it is not created by filing incorporation papers. Instead, the business is recognised through a set of registrations and licences that fit what you actually do.
Key characteristics
- One owner with full authority over every business decision
- No separate legal identity from the owner
- Unlimited personal liability for business debts
- Business income is taxed in the owner's personal return
- Minimal set-up cost and light ongoing compliance
Is registration mandatory?
There is no single “proprietorship registration” that the law requires for every business. What you need depends on your activity, location and turnover. In practice, most proprietors register because banks, customers, marketplaces and government schemes expect proof of a business.
GST registration
Becomes compulsory once turnover crosses the prescribed threshold, and for certain activities such as inter-state supply of goods or selling through e-commerce platforms.
Shop and Establishment
Required by most state laws for commercial premises.
Trade or professional licences
Apply to specific activities such as food, health, cosmetics or import-export.
Udyam registration
Optional but strongly recommended for access to MSME benefits.
Who should choose a proprietorship?
- Freelancers, consultants and independent professionals
- Small retailers, traders and service providers
- Home-based and first-time entrepreneurs testing an idea
- Businesses that do not plan to raise outside investment in the near term
If you expect to bring in investors, hire a large team or want to limit personal liability, a Private Limited Company or LLP is usually a better fit. Our team can compare the options for you before you decide.
Benefits of a sole proprietorship
Quick and inexpensive to start
You can be operational within days.
Full control
Decisions are yours alone, with no partners or board.
Simple taxation
Income is reported in your own return and can qualify for presumptive taxation schemes.
Low compliance burden
No annual company filings or mandatory audits at small scale.
Easy to scale up
You can later convert to an LLP or company as the business grows.

Compliance and taxation
A proprietorship has no separate tax return. The owner reports business income in their personal income tax return, taxed at the applicable slab rates. Depending on turnover and profession, presumptive taxation schemes under Sections 44AD and 44ADA can simplify accounting. Tax thresholds and limits are revised from time to time, so we confirm the current position before filing.
Compliance checklist
- File the annual income tax return on time
- Pay advance tax if your estimated liability exceeds the prescribed limit
- File GST returns if you are registered, monthly or quarterly as applicable
- Deduct and deposit TDS where the law requires it
- Maintain books of accounts and keep invoices and bank statements
- Renew your Shop and Establishment licence and other permits before expiry
