One Person Company (OPC)

Enjoy the benefits of a company with just one owner.

A One Person Company (OPC) gives a single founder the benefits of a company: a separate legal identity, limited liability and better credibility. It is ideal for solo entrepreneurs who want more protection than a proprietorship without needing a partner. CASYST handles name approval, incorporation and post-registration set-up.

01

What is One Person Company (OPC)?

A One Person Company is a company with only one member (shareholder). It is incorporated under the Companies Act, 2013, and is treated as a separate legal entity from its owner, so the owner's personal assets are generally protected from business liabilities.

Because there is only one member, the law requires a nominee who would step in if the member dies or becomes incapacitated. Rules on eligibility, size and conversion are updated from time to time, so we confirm the current position before filing.

02

Who needs One Person Company (OPC)?

  • Solo founders who want limited liability
  • Freelancers and consultants ready to move from a proprietorship to a company
  • Small businesses that want to build credibility with banks and clients
  • Entrepreneurs who want full control without partners or co-founders
i

If you plan to add co-founders or raise investment soon, a Private Limited Company is usually the better long-term choice.
